1. Who these terms are between
These terms are between you ("you") and the operator of ToolsXpo ("we", "us"), and govern your use of ToolsXpo at https://toolsxpo.com and the API at https://api.toolsxpo.com(together, the "Service").
By creating an account or calling the API you accept these terms. If you are accepting on behalf of a company, you confirm you have authority to bind it.
2. Payments are handled by Paddle
Our order process is conducted by Paddle.com Market Ltd, our authorised reseller and Merchant of Record. Paddle is the seller of record for every purchase: it charges your payment method, issues the invoice, and handles sales tax and VAT. Paddle's own terms and privacy notice apply to the payment transaction, and Paddle — not us — appears on your card statement.
We never receive or store your card details. See the Refund Policy for how refunds work across that arrangement.
3. Accounts and API keys
The API requires an account — there is no anonymous access. You must give a valid email address and keep your credentials accurate.
A key is a credential: treat it like a password and do not share it or commit it to a public repository. You are responsible for every call made with your keys, including calls made by someone who obtains a key you failed to keep secret. Revoke a compromised key from your dashboard immediately; revocation takes effect at once.
One person or organisation may not operate multiple accounts to evade credit limits, free-tier restrictions, rate limits or a suspension.
4. Credits
Paid use of the Service is metered in credits. Most tools on the site run entirely in your browser and are free; the ones that cost us real money to run — AI models, browser rendering, paid third-party lookups — are charged.
The web version and the API version of a tool are priced separately.A tool can be free on its page and charged over the API, or charged at different rates on each. Both prices are shown where you use them: on the tool's page, and in the API catalogue.
AI tools cost a base charge plus the tokens used, so the final price of a call depends on how much text you send and how long an answer you ask for. The base is reserved before the call and the token charge is added after, because the number of tokens is not known until the model has finished. Every AI tool has a maximum charge per call: if a call would exceed it, you are charged the maximum and no more.
- Purchased credits expire 12 months after purchase. Each purchase carries its own expiry date, so topping up never shortens or extends credits you already hold. Expiry dates are always visible in your dashboard, and we email you 30 days and 7 days before any credits lapse.
- Subscription credits expire sooner. Credits granted as part of a plan are use-it-or-lose-it and are removed at the end of each monthly cycle.
- A yearly plan is billed once but still credited monthly.Paying for a year in advance changes when you are charged, not how the allowance works: you receive the plan's monthly credit allowance once a month for twelve months, and each month's unused allowance lapses as above. A yearly payment does not grant twelve months of credits up front to spend at any pace.
- Where an account holds both, spending always draws from the credits that expire soonest, so nothing is wasted while longer-lived credits sit unused.
- Credits have no cash value, are not a deposit, cannot be exchanged for money, and cannot be transferred between accounts.
- Only successful calls are charged. A request rejected for invalid input, or one that fails on our side, does not consume credits.
Some tools cost us real money to run — third-party data, AI inference, browser rendering — and are not available on the free plan. Any purchase unlocks them.
5. Prices and changes
Prices are shown at checkout in your currency before you pay. We may change the credit price of individual tools as our own costs change; changes apply to future calls only and never retroactively re-price credits you have already spent. Credits you already hold are unaffected in quantity, though what a given call costs may change.
For subscriptions, we will give at least 30 days' notice before a price increase takes effect, so you can cancel first. A price change never affects a term you have already paid for: if you are on a yearly plan, the price you paid stands until that year ends.
6. Rate limits and fair use
Requests are rate limited per API key according to your plan. Exceeding a limit returns HTTP 429 with a Retry-After header; it is not an error on your account and carries no penalty. New accounts may also have a daily ceiling on how quickly recently purchased credits can be spent — this protects against stolen-card fraud and lifts automatically as an account establishes history.
7. Acceptable use
Several tools make network requests to a target you name — DNS lookups, port checks, URL scans, WHOIS queries. These are legitimate diagnostic tools that are trivially abused, so use of the Service is subject to the Acceptable Use Policy, which forms part of these terms. Breaching it is a material breach of this agreement.
8. Availability
We aim for high availability but the Service is provided without a guaranteed uptime commitment unless we have signed a separate written agreement with you. We may change, suspend or retire individual tools; where a tool is retired we will keep it responding for a reasonable period where practical.
Some tools depend on third-party data sources. When one of those is unavailable the affected tool may fail while the rest of the Service continues normally. Such a failure does not consume credits.
9. Your content
You keep all rights in the data you send to the Service. You grant us only the permission needed to process that data in order to return a result to you. We do not use the contents of your requests to train models, and we do not sell them.
AI tools involve a model provider. What you submit to one is passed to that provider to be processed and is covered by their terms as well as ours; we use providers on terms that do not permit training on this traffic. Which providers these are is listed in Subprocessors, and what is and is not retained is set out in the Privacy Policy. Tools that run in your browser send us nothing at all.
You must have the right to send us whatever you send, and must not submit data whose processing would be unlawful.
10. Suspension and termination
You may stop using the Service and close your account at any time.
We may suspend or terminate an account that:
- breaches these terms or the Acceptable Use Policy;
- carries an unpaid negative balance after a refund or chargeback reversed credits already spent; or
- is used for fraud, or in a way that endangers the Service or other customers.
Where circumstances allow, we will contact you before suspending and give you a chance to put things right. Fraud and chargebacks are the exception: those take effect immediately.
On termination for breach, unused credits are forfeited. If we terminate your account for any other reason, or discontinue the Service, we will refund unused purchased credits at the rate you paid.
11. Disclaimers
The Service is provided "as is". Tool output is generated automatically and may be wrong or incomplete. It is not professional advice — security, legal, financial or otherwise — and you must not rely on it as the sole basis for a decision with real consequences. Validate anything that matters.
To the fullest extent the law allows, we exclude all implied warranties of merchantability and fitness for a particular purpose.
12. Liability
Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited — including, for consumers, your statutory rights.
Subject to that, our total liability arising out of the Service is limited to the greater of the amount you paid us in the 12 months before the claim, or USD 100. We are not liable for lost profits, lost revenue, lost data or indirect losses.
13. Changes to these terms
We may update these terms. For material changes we will give notice by email or in the dashboard before they take effect. Continuing to use the Service after that constitutes acceptance; if you do not accept, stop using the Service and contact us about unused purchased credits.
14. Governing law
The governing law and jurisdiction have not yet been set for this deployment and must be completed before these terms take effect. If you are a consumer, this does not deprive you of the protection of the mandatory laws of your country of residence.
